The terms that govern your use of the Bridgewell Advisory website.
Effective Date: September 14, 2026
Welcome to Bridgewell Advisory (“Bridgewell,” “we,” “our,” or “us”), a service of Bridgewell LLC. By accessing or using our website at https://bridgewell-advisory.com, its subdomains, content, and services (the “Site”), you agree to be bound by the following Terms of Service (“Terms”). Please read these Terms carefully before using our Site.
These Terms govern your use of the Site only. They do not govern the scope, fees, or terms of any advisory engagement between Bridgewell and a client — those are set out exclusively in a separate, signed engagement letter between Bridgewell and that client.
THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. YOU AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION. PLEASE READ THE SECTION TITLED “DISPUTE RESOLUTION” BELOW TO LEARN MORE.
By using our Site, you acknowledge that you have read, understood, and agree to comply with these Terms. If you do not agree with any part of these Terms, you must not use our Site.
You are granted a limited, non-exclusive, non-transferable license to access and use our Site for personal or internal business purposes in accordance with these Terms. You may not misuse our Site, engage in unauthorized activities, or violate any applicable laws or regulations.
As a user of the Site, you agree not to:
We reserve the right to terminate your use of the Site for violating any of these prohibited activities.
All content, trademarks, and materials available on our Site, including text, graphics, logos, and software, are the property of Bridgewell or its licensors and are protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.
If you wish to make any use of the Site, content, or marks other than as set out in these Terms, please contact us at patrick@bridgewell-advisory.com. If we grant you permission to post, reproduce, or publicly display any part of our Site or content, you must identify us as the owner or licensor of that content and ensure any copyright or proprietary notice remains visible.
We reserve all rights not expressly granted to you in and to the Site, content, and marks. Any breach of this section will constitute a material breach of these Terms and your right to use our Site will terminate immediately.
If you directly send us any question, comment, suggestion, idea, or other feedback about the Site (“Feedback”), you agree to assign to us all intellectual property rights in that Feedback. You agree that we own the Feedback and are entitled to its unrestricted use and dissemination for any lawful purpose, without acknowledgment or compensation to you.
THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SITE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY THIRD-PARTY SITES LINKED TO THE SITE, AND WE ASSUME NO LIABILITY FOR ERRORS OR INACCURACIES IN THAT CONTENT, ANY UNAUTHORIZED ACCESS TO OUR SERVERS, ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE, OR ANY VIRUSES OR OTHER HARMFUL COMPONENTS TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BRIDGEWELL OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE ARISING FROM YOUR USE OF THE SITE WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE CAUSE OF ACTION ARISING, OR $100.00 USD. THIS LIMITATION APPLIES ONLY TO YOUR USE OF THE SITE AND DOES NOT LIMIT BRIDGEWELL’S LIABILITY UNDER ANY SEPARATE SIGNED ENGAGEMENT LETTER. CERTAIN STATE AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IF THOSE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
We care about data privacy and security. Please review our Privacy Policy. By using the Site, you agree to be bound by our Privacy Policy, which is incorporated into these Terms. The Site is hosted in the United States; if you access the Site from another region with data protection laws that differ from those of the United States, your continued use of the Site means you are transferring your data to, and consenting to have it processed in, the United States.
You agree to defend, indemnify, and hold Bridgewell harmless, including its officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, arising out of your use of the Site, your breach of these Terms, or your violation of applicable law. We reserve the right, at your expense, to assume the exclusive defense of any matter for which you are required to indemnify us, and you agree to cooperate with that defense. We will use reasonable efforts to notify you of any claim subject to this indemnification.
These Terms remain in full force and effect while you use the Site. We reserve the right to suspend or terminate your access to the Site at any time, for any reason, including a violation of these Terms.
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-law provisions.
The Site may contain links to websites operated by other parties. Such links are not investigated, monitored, or checked for accuracy by us, and we are not responsible for the content, accuracy, or policies of any third-party site. A link does not imply our endorsement. If you leave the Site to access a third-party link, you do so at your own risk, and these Terms no longer govern your use of that site.
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms or the Site (a “Dispute”), the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Informal negotiations commence upon written notice from one party to the other.
If the parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration, except as provided under “Exceptions” below. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration will be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”), available at the AAA’s website. The arbitration may be conducted in person, through the submission of documents, or remotely by phone or online. The arbitrator will make a decision in writing and must follow applicable law.
If you intend to seek arbitration, you must first send a written notice (“Notice”), by first class or certified mail, to: Bridgewell LLC, 5301 Virginia Way, Suite 200 Brentwood, TN 37027. The Notice must describe the nature and basis of the claim and the specific relief sought. If the parties cannot reach agreement within 30 days of the Notice, either party may initiate arbitration proceedings through the AAA at www.adr.org, and the initiating party must also mail a copy of the completed form to the other party. You may send your copy to patrick@bridgewell-advisory.com.
If a Dispute proceeds in court rather than arbitration, it will be commenced in the state or federal courts located in Davidson County, Tennessee, and the parties consent to personal jurisdiction and venue in those courts. No Dispute may be commenced more than one (1) year after the cause of action arose. Each party will bear its own attorneys’ fees and costs incurred in connection with any Dispute.
Any arbitration is limited to the Dispute between the parties individually. To the full extent permitted by law: no arbitration will be joined with any other proceeding; there is no right to arbitrate any Dispute on a class-action basis; and there is no right to bring any Dispute in a representative capacity on behalf of the general public or any other persons.
The parties agree the following Disputes are not subject to the informal negotiation and arbitration provisions above: (a) Disputes seeking to enforce or protect, or concerning the validity of, either party’s intellectual property rights; (b) Disputes related to allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
